Coca-Cola's Indian bottling business files for IPO; 99.75 crore shares up for sale
Coca-Cola’s India bottling arm files IPO papers

NEW DELHI: The Coca-Cola Company’s Indian bottling business, Hindustan Coca-Cola Holdings Ltd (HCCH), has initiated the process for a stock market listing by filing its draft IPO papers with the Securities and Exchange Board of India (Sebi). The proposed initial public offering (IPO) will involve the sale of up to 99.75 crore equity shares by promoter Hindustan Coca-Cola Overseas Holdings Pte Ltd, according to the draft red herring prospectus (DRHP) dated November 6. The issue will be entirely an offer for sale (OFS), which means HCCH will not receive any money from the IPO. All proceeds will go to the selling shareholder. The filing follows Coca-Cola’s statement in June that it was exploring a potential listing of HCCH in 2027. HCCH is the parent entity of Hindustan Coca-Cola Beverages (HCCB), the company’s Indian bottling arm.

HCCH’s beverage portfolio and distribution network

HCCH operates across three beverage categories: sparkling, hydration and stills, including juices. Its activities include preparing, packaging, distributing and selling beverages, with its portfolio comprising 41 products as of June 30, 2026.The company had a distribution network spanning around 1.7 million retail outlets, supported by 2,273 distributors, as of June 30, 2026.The TKC Report cited in the DRHP identifies HCCH as the largest non-alcoholic ready-to-drink (NARTD) beverage company by revenue among businesses operating exclusively in India in FY26. It also ranks the company as the largest bottler within the Coca-Cola System in India, based on units of concentrate sold.HCCH’s retained units reported revenue from operations of Rs 4,310.17 crore for the three months ended June 30, 2026, registering a year-on-year increase of 20.46 per cent. Total sales volume grew 18.61 per cent over the same period.

Who owns HCCH?

The Coca-Cola Company held a 60 per cent stake in HCCH through Hindustan Coca-Cola Overseas Holdings Pte Ltd as of the DRHP filing date. The remaining 40 per cent was owned by Jubilant Beverages Ltd, which became one of HCCH’s promoters in July 2025.The proposed listing also comes amid Coca-Cola’s global asset-light strategy, under which the beverage major has been divesting its bottling assets. India is its fifth-largest market globally. In 2024, the company transferred its bottling operations in Rajasthan, Bihar, the Northeast and parts of West Bengal to existing bottlers through franchise arrangements. These transactions generated $290 million (around Rs 2,420 crore) for Coca-Cola.Kandhari Global Beverages, SLMG Beverages and Moon Beverages were awarded the franchises.

HCCB’s manufacturing footprint in India

Coca-Cola operates in India through two entities: Coca-Cola India and Hindustan Coca-Cola Beverages (HCCB). Incorporated in February 1997, HCCB operates 14 bottling plants across the country. The company is headquartered in Bengaluru, with operations spread across 10 states. Its manufacturing and sales portfolio includes Coca-Cola, Thums Up, Sprite, Minute Maid, Maaza, SmartWater, Kinley, Limca and Fanta, among others.Kotak Mahindra Capital Company, Citigroup Global Markets India, JP Morgan India, Morgan Stanley India Company, Axis Capital, Goldman Sachs (India) Securities and IIFL Capital Services are the book-running lead managers to the issue, while KFin Technologies is the registrar.
